Terms of Service

These Terms of Service ("Terms") govern your use of services provided by Prairie Sailor LLC ("Company", "we", "us", or "our"). By engaging with our services, you ("Client", "you", or "your") agree to the following:

1. Scope of Services

We provide promotional marketing services, which may include but are not limited to:

  • Brand strategy and campaign development

  • Digital marketing (email, social media, SEO/SEM)

  • Creative content production (video, design, photography)

  • Branded merchandise and promotional kits

  • Event marketing and activation
    All services will be outlined in an agreed-upon proposal or scope of work (SOW).

2. Client Responsibilities

You agree to:

  • Provide necessary materials, access, and approvals in a timely manner.

  • Respond promptly to requests for feedback or decisions.

  • Make payments on time according to agreed terms.

3. Payment Terms

  • Payment schedules are outlined in individual project agreements.

  • Late payments may incur a 5% late fee per month overdue.

  • Work may be paused for unpaid invoices beyond 30 days.

  • All custom or third-party purchases (e.g., merchandise, media buys) require payment upfront.

4. Revisions and Changes

  • Each service includes a specified number of revisions.

  • Additional revisions or scope changes will be billed at our standard hourly rate unless otherwise agreed.

5. Ownership and Usage Rights

  • Upon full payment, you own all final deliverables unless stated otherwise.

  • We reserve the right to showcase work in our portfolio and promotional materials.

  • Source files (e.g., raw video, design files) remain our property unless included in the SOW.

6. Confidentiality

Both parties agree to keep all sensitive or proprietary information confidential and not disclose it to third parties without written consent.

7. Cancellations and Termination

  • Either party may terminate the agreement with 14 days' written notice.

  • Work completed up to the termination date will be billed accordingly.

  • No refunds will be issued for completed or partially completed work.

8. Limitation of Liability

We are not liable for indirect, incidental, or consequential damages arising from the use of our services. Our liability is limited to the amount you paid for the service in question.

9. Force Majeure

We are not liable for delays or failure to perform due to events beyond our control, including natural disasters, government actions, or technical failures.

10. Governing Law

These Terms are governed by the laws of the State of [Insert State], without regard to conflict of laws principles.
